Secondly, make analysis and review about traditional and new negotiable instrument counterplea theory and point out problems. Thirdly, based on two-stage theory of act on negotiable instrument, formally based on prerequisite of exercise of negotiable instrument right, essentially based on concept of law of negotiable instrument (namely, protect safety of transaction and promote instrument circulating), negotiable instrument counterplea is classified into four classifications, including counterplea in rem, counterplea of effectiveness, non-right counterplea and personal counterplea. Finally, the author insights every kind of counterplea and identifies scope of applicable, legal effect and excluded theoretical basis.
